Attorneys who were manager members of a professional limited liability company (PLLC) received guaranteed payments comparable to what would be paid if they’d been employees as well as distributive shares of the firm’s profits. The Tax Court said that self-employment tax applied to both the guaranteed payments and distributive shares. Because they were member-managers, they could not be treated like limited partners whose share of profits is exempt from self-employment tax.
